These terms govern your use of Guardrail (the "Service"), provided by Matt Williams, trading as Guardrail, a sole trader based in the United Kingdom ("Guardrail", "we", "us", "our"). By creating an account or using the Service, you agree to these terms on behalf of yourself and, where applicable, the company you represent ("you", "your"). If you do not agree to these terms, do not use the Service.
Guardrail helps UK small and medium businesses keep track of contractual and statutory obligations — such as contract renewals, recurring payments, and filing deadlines — by combining information you provide with data from connected third-party services (currently Xero, Gmail, and Companies House). Guardrail is a tracking and organisational tool. It is not a substitute for professional legal, accounting, tax, or compliance advice.
We do our best to surface accurate and timely information, but Guardrail cannot guarantee that every obligation, deadline, or renewal will be captured or flagged correctly, particularly where source data is incomplete, delayed, ambiguous, or inaccurate. You remain solely responsible for your company's legal and regulatory compliance, and for verifying any obligation, deadline, or amount before relying on it or acting (or failing to act) on it.
You must provide accurate information when registering and keep your login credentials secure. You're responsible for all activity that happens under your account. Tell us immediately at support@useguardrail.co if you suspect unauthorised access. You must be at least 18 years old and authorised to act on behalf of the company you register to use the Service.
Guardrail offers a free trial period, after which continued use requires a paid subscription plan as described on our pricing/billing page. By subscribing, you authorise us (via our payment processor, Stripe) to charge your chosen payment method on a recurring basis for your selected plan.
You agree not to use Guardrail to: break the law; upload content you don't have the right to share; attempt to gain unauthorised access to the Service or other customers' data; reverse-engineer or resell the Service without our agreement; or interfere with the Service's operation or security.
You retain ownership of the data and content you upload to or connect through Guardrail ("Customer Data"). You grant us a licence to host, process, and display Customer Data solely to provide and improve the Service to you. Our handling of personal data within Customer Data is described in our Privacy Policy.
You're responsible for ensuring you have the right to share any Customer Data with us, including data relating to colleagues, contacts, or third parties mentioned in uploaded documents.
Guardrail connects to third-party services (such as Xero, Gmail, and Companies House) at your direction. We are not responsible for the availability, accuracy, or content of these third-party services, or for any changes they make to their APIs or terms that affect the Service. Your use of those third-party services remains subject to their own terms.
We own all rights in the Guardrail software, branding, and platform, excluding your Customer Data. You may not copy, modify, or create derivative works from the Service except as necessary for your permitted use.
To the fullest extent permitted by law: the Service is provided "as is" without warranties of any kind, express or implied, including as to accuracy, completeness, or fitness for a particular purpose. We are not liable for any indirect, special, or consequential loss, including loss of profits, business, or data, arising from your use of (or inability to use) the Service.
Our total liability to you for any claim arising out of or relating to these terms or the Service is limited to the total fees you paid us in the 12 months before the claim arose. Nothing in these terms limits or excludes liability that cannot be limited or excluded under UK law, including liability for death or personal injury caused by negligence, or for fraud.
We may suspend or terminate your access to the Service if you materially breach these terms, or if we reasonably believe your use poses a security or legal risk to us or other users. We'll give you notice where reasonably possible. You may stop using the Service and cancel your subscription at any time as described in Section 4. On termination, your right to access the Service ends, though we may retain Customer Data for a limited period as described in our Privacy Policy.
We may update these terms from time to time to reflect changes to the Service or legal requirements. We'll notify you of material changes by email or via the application before they take effect. Continued use of the Service after changes take effect means you accept the updated terms.
These terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
